Webuni is an online educational platform that provides registered Service Providers with the opportunity to make their educational materials widely available to Users. Webuni creates a connection between Providers and Users in order to facilitate the widest possible access to information flow for scientific purposes.

All content on the online interface created by Webuni, in particular but not limited to software and technology provided by Webuni, the design elements, text elements, graphics, logos, links, animations, videos, illustrations, sound files, images, etc., created on the interface (“Webuni provided by Webuni”), are the property of Webuni Ltd. and are protected by copyright.

These Terms and Conditions are binding on all Service Providers and Users who use Webuni services and set out the terms and conditions of Webuni’s terms and conditions for the use of the services of Webuni.

The present General Terms and Conditions (hereinafter referred to as the “General Terms and Conditions”) apply to Webuni (hereinafter referred to as “Webuni”), which is available at www.webuni.hu, operated by Webuni Kft. (6000 Kecskemét, Magyar utca 2.; Cg.: 07-09-025548; hereinafter referred to as “Operator”). With the explicit declaration made during registration or purchase, and by using the Service, the User and Webuni Kft. an online contract is concluded between the User and the Website according to § 5 (4) of the Ekrtv.1. This contract is concluded for an indefinite period.

Webuni Ltd., as the operator of Webuni, reserves the right to unilaterally amend these General Terms and Conditions, but the Service Provider will inform Users of the amendment as soon as possible by means of a notice. The notice may be included in the Webuni’s interface for this purpose (Notifications) and/or in the newsletter sent by the Service Provider and/or in the notification sent to the e-mail address provided to the User in his User Account. Following such modification, use of the Service shall constitute acceptance of the modification to the Agreement.

REGISTRATION:

The use of Webuni services is subject to registration, during which the Service Provider or the User chooses whether to use an existing Google or Facebook user account, or an e-mail address and a unique password of their choice.

By registering in the Webuni system, the Service Provider and the User:

The registered person is solely responsible for the availability of the username and password provided during registration. Webuni accepts no liability for any unauthorised use of the username and password by third parties and for any damage resulting from such use. The right to use the username and password is non-transferable, and once logged in, the registered user logged in is responsible for all actions and consequences arising from the log-in, regardless of whether the person who actually logged in was him/herself or another person using the user’s rights. The Service Provider and User shall immediately notify Webuni via the e-mail address info@webuni.hu if they become aware that their user rights are being used by an unauthorized person.

RESPONSIBILITIES:

The Site is exclusively a marketplace for both Providers and Users. Webuni does not employ or engage any Service Providers, nor is Webuni responsible for any interactions between Service Providers and Users. Webuni is also not liable for any disputes, claims, damages or other losses arising between the Service Providers and Users as a result of the relationship between the Service Providers and Users, which relationship includes any information provided to them.

Webuni does not censor the material uploaded to its website, and therefore does not assume any responsibility for the content, quality, truthfulness or veracity of the information, especially the use of words, expressions or opinions expressed therein. It does not warrant any of the content uploaded, nor does it accept any liability for any claims or damages arising from its use.

Each Service Provider is responsible for the content of the material and courses published, shared and uploaded by it, for the authenticity of the information and for any damage caused to Users as a result of their use.

All Users and Service Providers are responsible for their own statements and conduct posted during use, and Webuni assumes no responsibility for the conduct of Users and Service Providers.

Content on Webuni’s online platform may also provide access to other online interfaces. Webuni shall not be liable for any damages arising from your access to these platforms. The Service Provider or the User must ensure that the access is secure and that his/her personal data is protected before making the access.

The links shared on the website are not checked beforehand, and Webuni is not responsible for any problems arising from the sharing of links, such as the authenticity of the link.

Attention should be paid to the fact that when using educational material, external links may expose Users to risks as their content may be offensive or otherwise dangerous, racist or offensive to their person or morals.

The website or the educational material may provide access, directly or indirectly through the Service Provider, to websites owned by third parties.

Webuni does not explicitly endorse any external websites, nor do they have any control over them, so it is up to the User to take the necessary security measures.

The educational material may only be used in accordance with the law; ignorance of the law does not excuse you.

REMEDIES:

If any third party asserts any claim or demand against Webuni arising from any conduct of the Service Provider or the User in the course of using the service, the Service Provider shall indemnify Webuni in respect of such claim or demand.

DATA MANAGEMENT:

Webuni will treat the data provided by Service Providers and Users during registration and use of the Services as confidential; it will disclose it only pursuant to its legal obligation and only to the competent court or authorities.

Webuni warrants that it will process the personal data of the Service Providers and Users in compliance with and in accordance with the laws in force, in particular the laws on the right to information self-determination and freedom of information.

The Service Provider or the User shall keep the data provided during registration up to date.

Users and Providers agree to:

In addition, each user of Webuni’s services warrants that any personal data that comes to its knowledge will be processed in compliance with and in accordance with the laws in force at the time, in particular the laws on the right to information and freedom of information.

INFRASTRUCTURE:

Webuni, in order to provide its services to its Service Providers and Users at the highest level, performs regular maintenance of its online interface, which may result in the limitation or suspension of the service. Webuni will, at certain intervals, carry out maintenance work, preferably between 8 PM and 6 AM, with a maximum duration of 48 hours per occasion. Webuni shall not be liable for any damage arising in connection with maintenance.

In addition to regular maintenance, Webuni operates a technical fault reporting service at info@webuni.hu. Webuni will record any faults reported to the e-mail address provided and undertakes to rectify them as soon as possible.

The Service Provider and the User shall be responsible for the condition of their own hardware and software and that they are in a condition suitable for the use of the service.

Webuni accepts no liability whatsoever for any interruption or interruption of the service and any resulting damage due to technical or infrastructural reasons beyond its control (e.g. power failure, etc.), or due to maintenance work carried out between 8 PM and 6 AM and during this period.

TERMINATION OF CONTRACT:

This Agreement shall terminate if the Service Provider or the User deletes himself/herself from the list of registered Service Providers or Users of Webuni, or if the Service Provider or the User ceases to exist.

Either Party shall be entitled to terminate this Agreement with immediate effect in the event of a serious breach by the other Party of any of its obligations under these Terms and Conditions. The Service Provider or the User shall compensate Webuni for all costs and damages incurred as a result of the Service Provider’s or the User’s breach of contract.

Upon termination of the Contract, the copyright of the educational material uploaded to the Webuni platform shall remain the property of the Service Provider, but Webuni shall continue to provide access to the educational material to the User who has already purchased the educational material. To this end, Webuni shall be entitled to continue to store the course on its servers, but it may not be sold on.

MIXED PROVISIONS:

Obligation to cooperate:

The Parties shall cooperate with each other through their contact persons during the term of these Terms and Conditions, and shall inform each other without delay of any material circumstances affecting this Contract and of any changes thereto.

Waiver of right:

The right granted by these Terms and Conditions may be waived only in writing. Failure to enforce any right granted by these Terms and Conditions shall not constitute a waiver.

Completeness, Partial invalidity:

These Terms and Conditions incorporate all provisions that bind the Parties with respect to Webuni’s services, and upon acceptance of these Terms and Conditions, any prior agreements or representations between the Parties that conflict with the intent or subject matter of these Terms and Conditions or that prevent performance of these Terms and Conditions shall be superseded.
Should any provision of these Terms and Conditions be or become invalid or ineffective, this shall not affect the validity or effectiveness of the remaining provisions, unless the Parties would not have concluded the contract without this provision.

Governing law, competent court:

In matters not covered by these Terms and Conditions, the provisions of Hungarian law, in particular Act V of 2013 on the Civil Code and Act LXXVI of 1999 on Copyright shall apply. The Parties undertake to attempt to settle any disputes arising between them amicably. Provisions applicable to service providers

Provisions on educational material and its uploading and use:

The Service Provider shall be entitled to upload, free of charge or for a fee, any educational material produced by the Service Provider, which shall remain the property of the Service Provider. The Service Provider may not use the Webuni online platform for any other purpose than to provide its educational materials to Users and may not interfere with the work of other Service Providers or the uploading of their educational materials.
Webuni assigns a unique link to the uploaded educational materials, which allows the Service Provider to promote the educational materials.

You acknowledge that you must have an account to publish paid educational material, as Webuni will not be able to make payment without an account.

The Service Provider warrants the content of any material uploaded by it, in particular the truthfulness of the information, its veracity and the use of words, and declares that only and exclusively material that does not infringe the rights of third parties will be used. The Service Provider warrants that it has the necessary rights of use in respect of any educational material that it uploads in any form. The educational material uploaded by the Service Provider shall not contain advertising or any solicitation to buy, links, subscriptions, spam, except for the address of its own website.

Webuni has the right to make corrections to the educational materials to the fullest extent possible to comply with its corporate design guidelines, and the right to refuse to publish educational materials if it deems them to be of unsatisfactory quality.

The Service Provider has the right to determine the price of the educational material it uploads, but guarantees that the price of the educational material it uploads, either on its own website or on any other online platform, is not lower than the price indicated on the Webuni platform.

The Service Provider is entitled to lease its courses at any time for a predetermined period or in a predetermined quantity. Webuni may at any time unilaterally leak the purchase price of educational material uploaded by the Provider, but only to the extent that this does not affect the Provider’s commission as defined in these Terms and Conditions. Price reductions affecting the Service Provider’s commission may only be applied with the Service Provider’s consent.

The Service Provider acknowledges that if any User obtains access to the educational material uploaded by the Service Provider free of charge or for a fee, the User may access such material even if the Service Provider later deletes the material.

The Service Provider agrees that Webuni may use a short excerpt of the material uploaded by it for business and promotional purposes without any restrictions, within the framework of which it may display it on public advertising media, in written or electronic media advertisements, advertising films, brochures, advertising materials, other advertising media and other means of image presentation. The Service Provider shall be liable for any infringement of the copyright of other authors by the Service Provider in this respect.

The Service Provider undertakes that if, at the time of publication of its educational material, it undertakes to respond to questions from registered Webuni Users and fails to do so for an extended period of time, it will be subject to a warning.

Market competition obligations:

The Service Provider shall not, without the prior written consent of Webuni, maintain or establish a legal relationship or in any other direct or indirect manner offer or transfer the educational material uploaded on the Webuni platform to any other third party who is a competitor of Webuni for the same purpose as the subject matter or purpose of this agreement.

Commission payments:

The Service Provider will receive a commission on the proceeds from the purchase of the educational material uploaded by the Service Provider. The Service Provider may only claim a commission if the registered User who has purchased the educational material has paid the price of the educational material to Webuni.

Webuni will always deduct an amount equal to 5% of the amount received from the courses as a management fee, and the remaining amount is the commission base.

The Service Provider is entitled to the remaining part of the purchase price after deduction of the 5% handling fee, i.e. 70% of 95% of the purchase price received, for the purchase of the educational materials uploaded by the Service Provider. If the Service Provider applies a promotional price, the commission shall be based on the promotional price.

The Service Provider is entitled to a commission only after the contractual performance, i.e. when its educational materials have been uploaded in accordance with these Terms and Conditions.

The above commissions shall cover all expenses incurred by the Service Provider in the contractual performance of this Agreement and advanced by the Service Provider from its own resources. The Service Provider shall not be entitled to any other fees.

If the Service Provider is entitled to a commission, the payment of such commission shall be made against an invoice electronically uploaded by the Service Provider. An invoice issued by the Service Provider may be accepted on the basis of a performance certificate issued by Webuni, provided that it is uploaded within 60 days of receipt of the performance certificate. Webuni shall send the certificate of performance to the Service Provider by the 10th day of the first month following the month in question. If the certificate of performance is found by either Party to be incorrect, the certificate of performance shall be corrected and the Service Provider shall issue the invoice on the basis of the corrected certificate of performance. Webuni will pay the commission within 35 days of receipt of the invoice.

If the Contract between the Parties is terminated, Webuni will only accept an invoice issued on the basis of a certificate of performance issued up to the date of termination.

Provisions applicable to Users (Students)

After registration, the User gains access to the educational materials uploaded by the Service Providers free of charge or for a fee, which may be viewed on the Webuni interface without limitation, unless otherwise provided by the Service Provider. The Service Provider shall inform the User of the conditions of limited viewing prior to the purchase.

Liability:

The User may use the content viewed on the Webuni platform, or any part thereof, only in compliance with the legislation on copyright and intellectual works, in particular Act LXXVI of 1999 on Copyright. This means, inter alia, that the User may use the viewed material or downloaded ancillary material only for his/her own purposes, may not pass it on to a third party, copy it, reproduce it, make it available to others or play it in the presence of several persons. The offending User shall be liable for any damage resulting from any infringement of copyright, unless he can prove beyond reasonable doubt that the damage was caused by an external cause beyond his control (e.g. unauthorised access to his profile).

The User is responsible for their User Account.

The User is obliged to notify Webuni immediately if he/she detects access by an unknown person and to take all security measures. Webuni shall not be liable for any damage resulting from failure to comply with these obligations.

The account of another User may only be used with the permission of the User, the responsibility for which rests with the grantor.

Payment of fees:

If the User has agreed to pay a fee when uploading the Service Provider’s educational material, the User may pay for the educational material by credit card via Webuni’s online interface. The User shall only be entitled to view the educational material once the consideration has been credited to his/her Webuni account. Webuni will issue an invoice for the payment, which will be sent to the User electronically. Delay or failure to issue the invoice shall not constitute a waiver of the fee.

Guarantee, Warranty for the Product

Given that the products are delivered electronically, the Operator does not guarantee them.

Right to withdraw

Webuni draws the attention of Users to the fact that, in view of the fact that the Product is by nature non-returnable, and in view of Article 5(d) of Government Decree 17/1999 (II. 5.) on distance contracts, the User shall not have the right of withdrawal pursuant to Articles 4 and 5 of the said Government Decree. No refund shall be possible under any circumstances after successful payment of the fee.
